Eh, he's really not. He took on $13bn of debt and has other investors, and he owes a fiduciary duty to both groups. The debt was hung with the banks and couldn't be syndicated -- it wouldn't clear at even 50c on the dollar if the banks sold. And he only owns ~42% of the equity. If Twitter ends up in bankruptcy, Elon will definitely be sued by the banks and other investors. Now, he should be covered by the D&O policy, but if they can prove fraud/willful misconduct, then he could be personally liable. Maybe no one will have the balls to go after him, but guys have lost billions of dollars.
November 22, 20241 yr I should add, if TWTR were to go bankrupt, the banks will likely finally dump the debt for pennies on the dollar. The buyers will be distressed funds (like me), and those funds will absolutely go after Musk for violating his fiduciary duty. Now, if Elon keeps funding the interest and operating cash burn, he can put that off.
