Vikas literally pulled out the clauses he is explaining to you as being the most relevant pages ago, and why the only read on this is Elon trying to squeeze for a better price. does he need to use crayon for you to understand?

If we were dealing with a normal person, I'd agree...but Musk is anything but normal. I haven't looked at the merger agreement, but I can't imagine that bots being less than 5% of total accounts is a condition. From the reports I've read, Musk has no due diligence out so he'd have to argue this violates a rep and warranty? Twitter just laid people off and lost senior execs, so if he wants to try and cut the price, he has real leverage. But again...it's Musk. He might just pay the $1bn and walk. Or he might change his mind in 30 minutes and stay at $54.20. I'm sure his advisors would tell him to try and cut the price, but not to go about it like this. For the "lawyer"

May 13, 20223 yr For all the experts out there, instead of being pompous asses (which Vikas is an expert at), read through this. It'll give you a decent explanation: https://www.cnbc.com/2022/05/13/elon-musk-cant-just-walk-away-from-twitter-deal-by-paying-1-billion.html Elon Musk can’t just walk away from his Twitter deal by paying a $1 billion breakup fee Musk may view putting the deal on hold as an opportunity to renegotiate price with Twitter.

May 13, 20223 yr LOL. His CNBC article literally agrees with everything I have said. Who actually decides to troll the politics section of a football team's message board by pretending to be a lawyer?

May 13, 20223 yr Wait, so the guy who said Musk initiated a hostile takeover of Tesla is also misreading this situation? Come on, guys, I bet next you're gonna tell me ivermectin doesn't actually cure covid.

Dude - go through the representations and warranties clauses. Musk will dissect them with a fine tooth comb and claim the company misrepresented something in an attempt to get a better share price. If you were buying a public company whose shares were tanking, would you not try to get a better price if there was something in the paperwork that you could claim was not kosher?

"It’s a different market than it was 30 days ago,” Ives said in a phone interview. "When Tesla loses $300 billion in market cap, the story changes.” Musk is using some of his Tesla stock to come up with some of the cash and using shares as collateral for the loans to finance the deal.

Correct that the Tesla shares are tanking and are needed to fund the Twitter purchase, but don't think for a second that the Twitter price decline is not a front and center factor here. It's not just one thing.
May 14, 20223 yr Musk telling someone else to tone down the drama is like Trump telling someone else to cut down on all the typos.
May 14, 20223 yr Musk is 100% right with most of this comment. The swing vote and shift to Biden wasn’t a mandate for a launch of progressive policy but rather a call to sanity and integrity. Biden has delivered on that in as much possible though of course he is imperfect and also has his senile moments (we knew all about those imperfections ahead of the vote). However, I disagree with Musk’s assertion that Biden misunderstands the situation. I think Biden fully understands but forgets once in a while.
