Yes. If he "wins,” he still almost assuredly has to pay the $1bn breakup fee. If he loses, then he has to buy it for $54.20.

But if he just agreed to pay the breakup fee anyway, which I thought he was entitled to do, then he loses $1B.  But if he challenges doesn’t he at least have a snowballs chance in hell of not having to pay the $1B breakup fee?
